Terms of Use

These Terms are between you and Hyey Inc., a Delaware corporation ("Hyey," "we," "us"). They govern your use of the Hyey mobile application, the Hyey website (including our landing page and any browser-based version of the app), and related services (together, the "Service").
These Terms explain the rules for using the Service, including caregiver responsibilities, acceptable use, and important health and emergency disclaimers.
01 Agreement To These Terms
By accessing or using the Service, you agree to these Terms of Use. If you create an account, you accept these Terms by checking the "I agree" box (or similar mechanism) presented at sign-up; if you use our website without an account, you accept these Terms by using the site. If you do not agree, do not use the Service. If you use the Service on behalf of a family, care team, organization, or another person, you confirm that you have authority to do so, that you have obtained any consent required from the person receiving care (or are their parent, legal guardian, or legally authorized representative), and that you will use the Service responsibly.
02 Eligibility; United States Only
You must be at least 18 years old to create an account or accept these Terms. Hyey is intended for adults coordinating care. A person receiving care may be a minor, but only an authorized adult may create and manage a team. The Service is offered solely to users located in the United States; by using the Service you represent that you are located in the United States, and we may restrict or block access from other regions. By using the Service you also represent that the information you provide about yourself is accurate and that you meet these requirements.
03 What Hyey Provides
Hyey is a caregiver coordination service that helps care teams manage tasks, reminders, schedules, team communication, patient profile information, and health-related notes entered by users, together with an informational website. Hyey is a coordination tool, not a clinical record system, emergency response service, or medical device.
Location features. Some features may use your device's location with your permission. Location features are provided for convenience only, may be inaccurate, delayed, or unavailable, and must never be relied on for safety, supervision, monitoring, or emergencies.
04 No Medical Or Emergency Advice
Hyey does not provide medical advice, diagnosis, treatment, emergency monitoring, or professional care services. Information in the Service should not be used as a substitute for advice from qualified health professionals. In an emergency, call local emergency services immediately. Any automated or artificial-intelligence features (including voice transcription and organization) organize the information you enter; they do not provide medical advice or clinical recommendations and must not be relied on for any medical decision.
05 Care Team Responsibilities
Users are responsible for:
- Entering accurate, current, and appropriate information.
- Confirming medication, health, and care instructions with qualified professionals when needed.
- Inviting only authorized caregivers or family members to a team.
- Confirming they have authority, and any consent required, to enter and share information about the person receiving care.
- Removing team access when a person no longer needs it.
- Reviewing reminders, tasks, and health entries before relying on them.
06 Accounts And Security
You are responsible for your account, device access, and login credentials. Notify us promptly if you believe your account or team has been accessed without permission. We may suspend or restrict access if we believe there is a security risk, misuse, or violation of these Terms.
07 Acceptable Use
You agree not to:
- Use the Service for unlawful, harmful, abusive, deceptive, or unauthorized purposes.
- Enter information that you do not have permission to collect, share, or manage.
- Attempt to access another team, account, or system without authorization.
- Interfere with the security, availability, or operation of the Service.
- Use the Service to send spam, harassment, or misleading communications.
08 User Content And Permissions
You retain responsibility for information that you enter into the Service. By adding content (including voice recordings), you give Hyey permission to store, process, display, and transmit that content as needed to provide the Service to you and authorized members of your care team. This permission is limited to operating and improving the Service and does not transfer ownership of your content to us. It includes permission for our service providers (including our cloud and AI providers described in the Privacy Policy) to process the content solely to provide the Service.
09 Subscriptions And Billing
Certain features may require a paid subscription. Purchases are made through the Apple App Store or Google Play and are also governed by that store's terms. If you purchase a subscription, you authorize us (and our billing provider) to charge the applicable fees. Subscriptions automatically renew at the then-current price for the same period unless you cancel before the renewal date. We will disclose the price, billing frequency, and renewal terms clearly before you purchase and obtain your affirmative consent to those terms. You may cancel at any time through the platform you used to subscribe; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law.
Free trials. If we offer a free trial, we will disclose the length of the trial and the price you will be charged after it ends before you start. Unless you cancel through your app store before the end of the trial, your paid subscription will begin automatically and the payment method on file with the app store will be charged.
10 Service Availability
We aim to keep the Service reliable, but it may be interrupted, delayed, unavailable, or inaccurate at times due to maintenance, connectivity, third-party services, device settings, or events outside our control. The Service should not be your only method for time-sensitive care coordination.
11 Third-Party Services
The Service depends on third-party services for authentication, hosting, database storage, notifications, diagnostics, and distribution. Your use of the Service may also be subject to platform rules from Apple, Google, or similar providers.
12 Privacy
Our Privacy Policy explains how Hyey collects, uses, stores, and protects information. By using the Service, you also agree to the practices described in that policy.
13 Intellectual Property
The Service, including the app, website, software, design, and the "Hyey" name and logo, is owned by Hyey, Inc. and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended caregiving purpose. You may not copy, modify, reverse engineer, resell, or create derivative works from the Service except as permitted by law. You keep ownership of the content you enter, subject to the permission you grant in Section 8.
14 Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless Hyey, Inc. and its officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, including but not limited to, your content, your violation of these Terms, or your entry or sharing of another person's information without authority or required consent.
15 Changes Or Termination
We may update, suspend, or discontinue parts of the Service, and we may update these Terms from time to time. If changes are material, we will provide notice through the app, website, or another reasonable method. Continued use after changes means you accept the updated Terms.
16 Disclaimers And Limitation Of Liability
The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee that the Service will be error-free, uninterrupted, or suitable for every caregiving situation. To the fullest extent permitted by law, Hyey is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the Service. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or US$100.
17 Governing Law; Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to the arbitration provision below, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over any dispute not subject to arbitration.
18 Dispute Resolution; Arbitration; Class-Action Waiver
Except where prohibited by law, you and Hyey agree to resolve any dispute through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, and you and Hyey waive any right to a jury trial. You and Hyey agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any class or representative proceeding. You may opt out of this arbitration provision by notifying us at hello@hyeycare.com within 30 days of first accepting these Terms; opting out will not affect the other provisions of these Terms. This provision does not prevent either party from seeking relief in small-claims court or, where applicable, from a government agency.
